1. The agreement
These Terms govern your use of OkMemo (the "Service"), provided by Backlog Fejlesztő és Tanácsadó Kft. (short name: "Backlog Fejlesztő Kft."), a Hungarian limited liability company with its registered seat at 2233 Ecser, Szent István utca 41., Hungary, company registration number 13-09-242820, tax number 32900112-2-13 (the "Operator"). By creating an account or workspace, you accept these Terms on your own behalf and on behalf of any organisation you represent.
2. Your account
You are responsible for keeping your sign-in email and any API keys safe. The workspace Owner is responsible for managing seats, billing, and the data their team enters. We do not require passwords; sign-in is by single-use magic link.
3. Acceptable use
You may not use OkMemo to:
- Process personal data unlawfully or in violation of GDPR or comparable laws.
- Probe, scan, or attack the Service or its infrastructure outside of an agreed responsible-disclosure programme.
- Send unsolicited bulk approvals or marketing emails through your stakeholder list.
- Bypass rate limits, scrape data outside of the documented API, or impersonate other users or stakeholders.
4. Your content
You retain all rights to the content you upload to OkMemo (memos, decisions, attachments, audit log entries). You grant the Operator a limited licence to host, transmit, render, and back up that content for the sole purpose of providing the Service. We do not access your content except as needed for support, security, or legal compliance.
5. Subscriptions and billing
Free, Solo, Pro, and Business plans are offered as described on the pricing page. Subscription fees are billed in advance per the chosen cadence and are non-refundable except where required by law. You may cancel at any time; downgrades and cancellations take effect at the end of the current billing period.
Billing is processed by Polar Software Inc. as Merchant of Record. Polar's own terms apply to payment handling: polar.sh/legal.
6. Termination
You may delete your workspace at any time from Settings → Workspace → Data. The Operator may suspend or terminate access for material breach of these Terms, with reasonable notice unless the breach is severe (e.g. fraud or security abuse). Sealed Decision Records may be exported before termination and are retained for verification per the workspace's compliance policy.
7. Warranty disclaimer
OkMemo is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We aim for high availability but do not guarantee uninterrupted service during the v1 launch period.
8. Limitation of liability
To the maximum extent permitted by law, the Operator's aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. The Operator is not liable for indirect, incidental, or consequential damages, including lost profits, lost data, or business interruption — except where such limitation is prohibited by applicable law.
9. Governing law
These Terms are governed by the laws of Hungary, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the courts of Budapest, Hungary, unless mandatory consumer-protection law provides otherwise.
